Terms and Conditions (T&Cs) - VibeShift Last updated: 23.01.2026 Language version These Terms are provided in German and English. Only the German version is legally binding. The English version is provided for convenience only. 1. Provider, Scope, Definitions 1.1 The provider of the "VibeShift" platform is: Max Mustermann Musterstrasse 42 74072 Heilbronn Germany Email: info@vibeshift-events.de 1.2 These Terms apply to the use of the platform by all visitors and registered users. 1.3 "User" means any person using the platform. "Organiser" means a user who creates/manages events and provides related content. "Content" includes in particular text, images/logos, links, event data, profile information and any other information uploaded, entered or published by users. 2. Platform Service / Role of VibeShift 2.1 VibeShift provides a technical platform enabling discovery and presentation of events and allowing organisers to publish events. 2.2 VibeShift is generally not the organiser of the events presented on the platform unless explicitly stated otherwise. 2.3 Any agreements regarding event participation are concluded solely between participants and the respective organiser, if at all. VibeShift is not a party to such agreements. 2.4 VibeShift does not guarantee uninterrupted availability but will make reasonable efforts to provide stable operation within technical and economic limits. 3. Registration, Account, Credentials 3.1 Certain features (e.g. favourites, event management) require registration. 3.2 Users must provide accurate information and keep it up to date. 3.3 Credentials must be kept confidential. Suspected misuse must be reported to VibeShift without undue delay. 4. User Obligations / Prohibited Use 4.1 Users must not misuse the platform. In particular it is prohibited to (a) publish unlawful content, (b) infringe third-party rights, (c) distribute malware or circumvent security measures, (d) perform automated access that impairs operations (e.g. scraping) unless explicitly permitted. 4.2 Users must comply with applicable laws and respect third-party rights. 5. User Content (UGC) - Especially Images 5.1 Users are solely responsible for the content they provide. 5.2 It is prohibited to upload or publish content that, in particular, (a) infringes copyrights, related rights, trademarks, design rights or personality/privacy rights, (b) is offensive, discriminatory, pornographic, extremist or otherwise unlawful, (c) is misleading or fraudulent, (d) contains personal data of third parties without a legal basis. 5.3 Images of identifiable persons may only be uploaded if the necessary consent or another legal basis exists. 5.4 VibeShift may (but is not obliged to) review, block, remove or reject publication where there are specific indications of legal violations or breaches of these Terms. There is no entitlement to publication. 6. Special Obligations of Organisers 6.1 Organisers must keep event information complete, accurate and up to date (e.g. date, location, description, pricing/participation terms, contact). 6.2 Organisers are solely responsible for conducting their events and complying with all applicable legal requirements (e.g. permits, safety rules, youth protection). 6.3 Organisers may only use images/logos/event photos if they hold the necessary rights and no third-party rights are infringed, including stock material (only under the applicable license terms). 7. License Grant to VibeShift 7.1 By uploading/publishing content, the user grants VibeShift a non-exclusive, worldwide, royalty-free license to store, reproduce, make publicly available and display the content for operating the platform. 7.2 The license includes technically necessary processing (e.g. format conversion, resizing/compression of images), provided the meaning is not distorted. 7.3 The license applies for the duration of publication and beyond to the extent technically required (e.g. caching, backups) or for compliance/enforcement purposes. 8. Notice-and-Takedown 8.1 Reports of potential legal violations can be sent to: info@vibeshift-events.de 8.2 Reports should include: exact location (URL), description of the violation, evidence of entitlement (e.g. rights ownership) and contact details. 8.3 VibeShift will review reported content in accordance with applicable law and take appropriate measures where warranted (e.g. blocking/removal). 9. Indemnification 9.1 Users, in particular organisers, agree to indemnify VibeShift against any justified third-party claims asserted against VibeShift due to content or information provided by the user, to the extent the user is responsible for the infringement. 9.2 The indemnity also covers reasonable costs of legal defense (including reasonable attorney's fees). 9.3 VibeShift will inform the user about such claims and, where reasonable, allow the user to support the defense. The user must provide necessary information without undue delay. 10. Liability of VibeShift 10.1 VibeShift is liable without limitation in cases of intent and gross negligence and for injury to life, body or health. 10.2 In cases of slight negligence, VibeShift is liable only for breach of essential contractual obligations and limited to foreseeable damages typical for such cases. 10.3 VibeShift is not liable for third-party content (in particular organiser content) if VibeShift has no knowledge of its unlawfulness and, upon obtaining knowledge, promptly takes appropriate action. 10.4 Mandatory statutory liability remains unaffected. 11. Suspension, Termination, Final Provisions 11.1 VibeShift may suspend accounts and content in whole or in part if users breach these Terms or where there are specific indications of legal violations. 11.2 Users may terminate their account at any time. Statutory retention obligations remain unaffected. 11.3 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), to the extent permitted. 11.4 If the user is a merchant, the place of jurisdiction is Heilbronn. Otherwise statutory rules apply. 11.5 If any provision is invalid, the remaining provisions remain effective.
